Capitalised terms not defined herein shall have the same meaning as they are used in the Terms of Use of the Website and/or Terms and Conditions of Member Accounts.
1. Definitions
1.1. “Account” refers to the online account of a Member on the Website (the “Website”).
1.2. “Listing” refers to a listing on the Website of any tier including a Basic Listing, Bronze Listing, Silver Listing, Gold Listing and Platinum Listing.
1.3. “Member” refers to a user who has registered with Wesley and holds an Account on the Wesley Website.
1.4. “Payment Method” refers to the payment method utilised by the Member for the payment of the Subscription Fees for his/her Subscription;
1.5. “Payment Terms” refers to these terms and conditions of payment applicable to each Subscription as prescribed by Wesley in this Website or otherwise from time to time.
1.6. “Subscription” refers to a paid membership with Wesley including Bronze membership, Silver membership, Gold membership and Platinum membership and excluding the Basic membership.
1.7. “Subscription Fees” refer to the annual fee payable for the corresponding tier of Subscription at the published rate prescribed by Wesley which may be updated from time to time.
1.8. “Visitor” refers to any user who browses the Website and includes both Members and users who are not Members.
2. Acceptance of Terms
2.1. Please read these Payment Terms carefully before initiating a Subscription because they together with the Terms and Conditions of Member Accounts (collectively “Members’ Terms”) create a binding contract between each Member (“you” or “your”) and Wesley Connect Pte. Ltd. (“Wesley”, “we”, “us” or “our”). If you do not agree to these Payment Terms, then you must not initiate a Subscription.
2.2. Wesley reserves all rights to revise, withdraw or make changes and corrections to the Payment Terms (“Amendments”), in whole or in part, at any time and without notice. Such Amendments shall be effective immediately upon publication of such Amendments on the Website. By using this Website, you agree to be bound by such Amendments and you agree to periodically visit this page to determine the then current Payment Terms to which you are bound.
2.3. If you initiate a Subscription on behalf of a company, entity or business, then you represent and warrant that you are an authorised representative of such organisation with the authority to bind such it to these Payment Terms; and agree to be bound by these Payment Terms on its behalf.
2.4. Some features and functions may only be available to Members with an active Subscription to certain tiers. Your Account may be restricted if you do not make payment of all Subscription Fees payable. If we grant you permission to access a restricted area, we may withdraw that permission at any time (including where you breach any of these Payment Terms).
3. Subscriptions
3.1. To enjoy full access to the Website, Members need to sign up for an Account and a Subscription. Unless we otherwise communicate a different time period to you at the time of sign up or otherwise, the duration of each Subscription ("Subscription Duration") is for twelve (12) months commencing upon the date you sign up for a Subscription and the Subscription Fees are received by Wesley, or the date you re-activate a pre-existing Subscription with full payment of Subscription Fees.
3.2. By making payment for a Subscription, you consent to automatic renewal of your account each year and you permit Wesley to collect and receive the annual Subscription Fees from you through the prescribed payment method until your Subscription is cancelled or terminated or otherwise expressly communicated with you. For example, if you purchase your Subscription on 4 March 2021, your subscription automatically renews on 4 March 2022. You can see your active Subscription(s) and next invoice date on the User Dashboard.
3.3. By initiating a Subscription, you authorise us to charge you for:
3.3.1. your initial Subscription Duration;
3.3.2. a recurring yearly (or such other periodic interval to be specified by Wesley) Subscription Fee at the then prevailing rate, which may change from time to time; and
3.3.3. any other fees you may incur in connection with your use of the Website, such as any applicable sign-up fee, taxes and cancellation or late fees.
3.4. Wesley reserves the right to adjust pricing at any time. Unless expressly communicated to you, any price changes to your Subscription will take effect automatically on your next Subscription Duration communicated through a posting on the Website and/or an email to your registered email address. If you do not cancel your Subscription prior to such communication, you are deemed to have accepted these new fees and to have authorised us to charge your Payment Method for such varying amounts, which may be billed monthly in one or more charges. Note that even if you do not use the Subscription or access the Listing features and Member benefits, you will be responsible for Subscription Fees until you cancel your Subscription, or it is otherwise terminated.
3.5. All Subscription Fees due must be paid in full. Wesley reserves the right to refuse renewal of a Member’s Account and provide related services to Members who neglect to make full payment of any fees due and owing to Wesley.
3.6. All our Subscription Fees are non-refundable.
3.7. Payments for Subscription Fees should be made on the Website through the payment methods prescribed by Wesley (and as may be updated by Wesley from time to time).
3.7.1. The prescribed payment method may include third party payment facilities, payment gateways and/or payment service providers. Such payment facilities are operated or owned by third parties. Please refer to the terms and conditions imposed by such payment service providers to understand your rights and responsibilities when using such payment facilities. You agree that you will not hold Wesley responsible for any aspect of any interactions, rights and obligations between you and any payment service providers.
3.7.2. By submitting your payment details through Wesley’s prescribed payment methods, you consent to us using your payment details in accordance with our Privacy Statement, including the disclosure of your personal data which includes without limitation the Member’s email address, card information, name and billing address, to the relevant third parties for the purpose of completing the transaction.
3.7.3. You may not claim against Wesley for any failure, disruption or error in connection with the payment method.
3.7.4. Wesley reserves the right at any time to modify or discontinue, temporarily or permanently, any payment method without notice to you or giving any reason.
3.7.5. If a payment is not successfully settled due to expiration, insufficient funds or otherwise, you nonetheless will remain responsible for any uncollected amounts. Should the Member fail to make any payment pursuant to the terms and conditions of the Payment Method elected or payment is cancelled for any reason whatsoever, then without prejudice to any other right or remedy available to Wesley, Wesley shall be entitled to suspend the Member’s Account until payment is made in full.
3.8. You may amend the tier of your Subscription by contacting Wesley at support@wesleyconnect.com. Any amendment to the tier of your Subscription will be effective only in the next Subscription Duration, that is, after the lapse of the present Subscription Duration.
3.9. You may cancel your Subscription at any time before the automatic renewal of your Subscription by logging in to your Account and submitting the Cancel Subscription Form in the User Dashboard. Upon cancellation or termination, your Subscription will revert to the Basic membership and you will be entitled only to the benefits associated with the Basic membership. You will lose access to all additional Listing features and Member benefits available through the Subscription. Wesley reserves the right to request your amendment of the Listing to comply with the Basic membership benefits that you remain entitled to, or to amend the Listing on your behalf at Wesley’s sole discretion including deleting any catalogue data or multimedia.
4. Promotions
4.1. From time to time Wesley may offer (“Offer”) a thirty (30) day free trial Gold membership (the “trial membership”). This entitles you to access the benefits offered by Wesley under the Gold membership for a period of thirty (30) days from the date such trial membership is activated (“Trial Period”) by submitting your payment details through Wesley’s prescribed payment method.
4.2. Unless we expressly communicate otherwise, the Offer is available only to new Members that have never had an Account before and there is only one trial membership permitted per individual or entity.
4.3. Upon the lapse of the Trial Period, the Member will automatically and immediately commence the twelve (12) month Subscription on the Gold membership with full access to the corresponding benefits.
4.4. Should you decide that you do not wish to become a paying Member of Wesley upon the lapse of the Trial Period, you are obliged to terminate the trial Gold Membership before the last date of the Trial Period, by logging in to your Account on the Website and submitting the requisite Termination Form in the User Dashboard.
4.4.1. Upon Wesley’s effective processing of your Termination Form (“Effective Trial Termination Date”), your Subscription will revert to the Basic membership and you will be entitled only to the benefits associated with the Basic membership.
4.4.2. Should you have submitted to Wesley any Listings which contains information beyond the benefits associated with the Basic membership, Wesley reserves the right to request your amendment of the Listing to comply with the Basic membership benefits that you remain entitled to, or to amend the Listing on your behalf at Wesley’s sole discretion including deleting any catalogue data or multimedia.
4.5. Wesley reserves the right, in its absolute discretion, to withdraw or to modify the Offer and/or the trial membership at any time without prior notice and with no liability.
4.6. Unless we expressly communicate otherwise, the trial membership is not transferable, may not be combined with other offers or redeemed for cash and may be terminated without any notice for any reason with immediate effect.
4.7. Wesley may offer additional types of promotions which will be subject to additional terms and conditions that Wesley may provide.
5. Release
5.1. The collection and use of any information collected from you, including but not limited to personal data, by Wesley will be subject to the Privacy Statement.
6. Website Content
6.1. As a Member you are solely responsible for the accuracy of any Listing you post, and for all claims, losses, costs, expenses or damages whatsoever from any person arising (directly or indirectly) from the publication of any Listing.
7. Jurisdictional Matters
7.1. Wesley endeavours to prepare the Website and/or Content in accordance with Singapore law. It does not warrant that the Website, and the Content will satisfy the laws of any jurisdiction other than Singapore, or that they/it are/is appropriate or available for use outside Singapore.
7.2 Your use of your Account constitutes your consent to having your Personal Data transferred to and processed in Singapore, and the jurisdiction of the company/business that you are engaging, subject to the restrictions on such data applicable to Wesley.
8. Waiver
Any failure of Wesley to exercise or enforce any right or provision of these Payment Terms shall not constitute a waiver of such right or provision. If any provision of these Payment Terms is found by a court of competent jurisdiction to be invalid, you agree that the court shall endeavour to give effect to the parties’ intentions as reflected in the provision, and that the other provisions of these Payment Terms remain in full force and effect.
9. Termination
The Members’ Terms including these Payment Terms are effective as long as you have an Account with us. We may, at any time and for any reason, terminate access to or use of the Website and/or Content and/or Account by any particular person or particular IP address. If we terminate your access to the Website or your Account you will not have the right to bring claims against us or our Affiliates with respect to such termination. We and our Affiliates shall not be liable for any termination of your access to the Website, Content and/or Account.
10. Rights of Third Parties
None of the terms herein shall be enforceable by virtue of the Contracts (Rights of Third Parties) Act (Chapter 53B) or otherwise, by any person or entity who is not a party hereto.
11. Section Headings
The section headings in these Payment Terms are for convenience only and have no legal or contractual effect.
12. Entire Agreement
You hereby agree and acknowledge that these Members’ Terms and Visitors’ Terms constitute the entire agreement between you and Wesley in its own capacity and as agent for its Affiliates or any of them (where applicable) and shall govern the use of this Website and the Content.
13. Translation
13.1. In the event that the Content and these Payment Terms may be translated by Wesley into languages other than English, the language of the contract to be applied remains as the English language. All versions hereof in any other language shall be for accommodation only and shall not be binding upon Wesley.
13.2. In the event of any dispute related to or arising hereunder these Payment Terms, all communications and notices shall be in the English language. If there is a discrepancy between any translation of these Payment Terms into a different language, and these Payment Terms, these Payment Terms (English version) shall prevail.
14. Governing Law
14.1. These Payment Terms and your relationship with Wesley hereunder shall be governed by and construed in accordance with the laws of Singapore, and you, in using or accessing this Website and the Content, hereby unconditionally agree to submit to the non-exclusive jurisdiction of the courts of Singapore.
14.2. In the event of any dispute arising out of or in connection with these Payment Terms including any question regarding its existence, validity or termination, the parties shall at first instance take reasonable efforts to settle and resolve such disputes in good faith and in an amicable manner by negotiation.
